Terms & Conditions

1) Acceptance of Terms

By accessing domivoxventures.com or engaging DOMIVOX for services, you agree to these Terms and any applicable Statement of Work (“SOW”), proposal, or order form.

2) Services & Scope

We provide services including but not limited to performance marketing (Google/Meta/Bing), SEO, PR/ORM, website & landing page design/development, and software/app development. Specific scope, deliverables, timelines, and assumptions are defined in the SOW/proposal.

3) Client Obligations

• Provide timely access to required platforms (e.g., Google Ads, Meta, Analytics, Tag Manager, Search Console, CMS/hosting) and assets.
• Ensure you have rights to all materials provided to DOMIVOX.
• Review and approve deliverables within reasonable timelines to avoid delays.

4) Fees & Payments

• Retainers and project fees are invoiced as per SOW/proposal and payable by the due date stated on invoice.
• Platform ad spend (Google/Meta/Bing/LinkedIn, etc.) is billed by the platform directly unless otherwise specified.
• Late payments may pause services and may incur a late fee or interest as permitted by law.
• Additional work outside scope requires a change request and may affect budget/timeline.

5) Intellectual Property

• Upon full payment, you own final deliverables explicitly stated in the SOW (e.g., ad creatives, page designs, website code developed for you), excluding third-party materials and our internal tools/processes.
• We retain ownership of pre-existing IP, internal frameworks, templates, and know-how. Non-exclusive license is granted only as needed to use the deliverables.

6) Confidentiality

Each party agrees to keep the other party’s confidential information secure and use it only to perform obligations under the SOW/Terms, except where disclosure is required by law.

7) Warranties & Disclaimers

• We warrant services will be performed with reasonable skill and care.
• Except as stated, services are provided “as is” without other warranties (including implied warranties of merchantability/fitness).
• Performance results (e.g., ROAS, rankings) depend on many external factors and are not guaranteed.

8) Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages. Our aggregate liability under these Terms will not exceed the fees paid to DOMIVOX for the three (3) months preceding the event giving rise to the claim.

9) Term & Termination

• Either party may terminate for material breach if not cured within 10 business days of written notice.
• Month-to-month retainers may be cancelled with 30 days’ notice after any initial setup period defined in the SOW.
• Upon termination, you will pay for services performed up to termination date; we will cooperate on a reasonable handover.

10) Refunds

Refunds are governed by our Refund Policy.

11) Third-Party Platforms & Tools

• You agree to comply with applicable platform terms (Google, Meta, Microsoft/Bing, LinkedIn, etc.).
• DOMIVOX is not responsible for outages, policy changes, or suspensions by third parties.

12) Compliance

Both parties will comply with applicable laws and regulations, including advertising policies, copyright, privacy and data protection obligations (e.g., India DPDP/GDPR where applicable).

13) Changes to these Terms

We may update these Terms from time to time. The “Updated” date reflects the latest version. Material changes will be highlighted on this page.

14) Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Courts located in India shall have exclusive jurisdiction, unless otherwise specified in the SOW.
